6. Conflict of Interest

Employees of EZ Ride shall maintain a high degree of integrity in the conduct of the Company’s business. Employees must avoid an activity that creates, or appears to create, a conflict between his/her interests and the interests of EZ Ride. A conflict of interest arises any time such a person has a duty or interest that may conflict with the proper and impartial fulfillment of such person’s duties, responsibilities, or obligations to the Company. If you have questions about the Conflicts of Interest policy, please contact the CEO or COO.

A conflict of interest arises when you use your position at EZ Ride for personal gain for you or for one of your close family members. For purposes of this policy only, a “close family member” includes an employee’s spouse, civil union or domestic partner, child or child in-law, parent or parent in-law, grandparent or grandchild (including in-laws), step-children, siblings (including a sibling’s spouse or civil union or domestic partner), niece, nephew, aunt, uncle, first cousin, or anyone residing in the employee’s home or who is part of the employee’s household, or with whom the employee has a consensual, romantic, intimate, and/or sexual relationship. (This does not apply to personal investments of less than 2% in the securities or shares of corporations or institutions traded on a major national securities exchange or market).

Specifically, no Company employee or close family member of an employee may have an ownership interest in or be an employee, contractor, or subcontractor, or have any other form of interest or business affiliation with any firm, company, agency, individual, partnership, or other business entity, which performs services for or contracts with the Company. No employee may speculate or deal in services, equipment or supplies that the Company purchases, if the employee’s decision to engage in such activity is based substantially on information available to the employee because of his/her position with the Company, or if the employee stands to gain financially due to his/her position with the Company, or where the employee’s speculations or dealings would be contrary to the Company’s best interests. Other conflicts of interest include, by way of example, a person:

  • Making an investment that may affect his/her business decisions; owning a meaningful financial interest in, or being employed by, an organization that competes with EZ Ride;
  • Owning a meaningful financial interest in, or being employed by, an organization that does, or seeks to do business with EZ Ride;
  • Making a material decision on a matter where such person’s self-interests may reasonably call the appropriateness of the decision into question;
  • Being employed or accepting compensation from any other person as a result of business activity or prospective business activity affecting the Company.

Disclosure of Conflicts. An employee that becomes aware of a personal interest that is, or may be viewed as, in conflict with that of EZ Ride, should promptly (and in any event within 48 hours) present the situation and the nature of the possible conflict to the CEO or COO.

Safeguarding Company Assets. Employees have a duty to safeguard EZ Ride’s assets, including its physical premises and equipment, records, client information and Company trademarks, trade secrets, and other intellectual property. Company assets shall be used for Company business only unless otherwise permitted by this employee handbook, such as limited personal use of Company email. Without specific authorization, no employee may take, loan, sell, damage or dispose of Company property or use, or allow others to use, Company property for any non-Company purpose. Property purchased with Company funds, unless accounted for as compensation, is to be used for Company purposes exclusively.

We do not automatically assume that there is a conflict of interest if you have a relationship with another company. However, if you have any influence on transactions involving purchases, contracts, or leases, you must inform the CEO or COO as soon as possible. By telling us that there is the possibility of an actual or potential conflict of interest, we can set up safeguards to protect everyone involved.
